As of early April 2024, Boyum IT Solutions from Denmark has acquired 100% of Netronic Software GmbH from Germany.

We know that any acquisition brings many changes. While some are obvious, some aren't, and they might surprise you. This page is meant to avoid surprises and to work as our central hub for collecting and documenting these changes. Hence, we highly recommend you bookmark this page to read about these changes whenever needed.

Changes in name but not in the legal entity

Boyum Solutions already had a company/legal entity in Germany. This legal entity was first merged into the Netronic Software Gmbh. After that, Netronic Software GmbH was renamed into Boyum IT Solutions GmbH.

 

As a result, changed invoicing entity

As a consequence, you now receive invoices from Boyum IT Solutions GmbH. However, the legal entity (incl. the VAT ID) you deal with remains unchanged.

This implies that existing Netronic partners and customers will have a new invoicing entity. Therefore, you must change the payment details to pay invoices to the correct invoicing entity. We strongly encourage you to take an extra look at invoices received from Boyum / Netronic over the next months to ensure that you pay the invoice to the right invoicing entity and bank account number.

Here is the essence of this communication (but not every detail): In general, the following conditions apply to all former Netronic customers - independent if they purchased a license for a Business Central extension via a partner or if they purchased a license from the VARCHART product family directly from Netronic:

Situation before the acquisition:

  1. The maintenance amounts were calculated and billed considering a 12-month period from the date the perpetual license purchase transaction was completed, e.g., from April 1st, 2023, to March 31st, 2024 (or from a date that you have individually agreed upon with Netronic).
  2. On average, 30 days before the end of the maintenance period, Netronic sent you an invoice for renewing the maintenance for the next 12 months.
  3. Unless you informed Netronic about a maintenance cancellation before the new maintenance period started, the maintenance invoice was expected to be paid, which, of course, gives the customer the benefits offered as part of the maintenance agreement.

New procedure from July 1, 2024:

  1. Boyum IT customers’ maintenance is calculated and invoiced by natural years (January to December). When a new purchase (new customer or upsell) occurs, the prorated maintenance is calculated until December 31st. In this way, the customers will be able to renew later for a full natural year.
  2. To align your and/or your customers with natural years, we will:
    1. Send you a prorated maintenance invoice until December 31st, 2024, for those customers' maintenance to be renewed after July 1st, 2024.
    2. These customers can renew their 2025 full natural year from January 1st, 2025.
    3. Customers who renewed maintenance already (before July 1st) will receive a prorated maintenance invoice until December 31st, 2025, next year.
    4. This second group of customers will be able to renew their 2026 full natural year from January 1st, 2026.

 

Changes in subscription & billing periods (for Business Central partners only)

With the acquisition, we aligned the subscription & billing periods with what Boyum has been doing.

Situation before the acquisition:

  1. By default, your customers would have had two subscription periods per year: January 1 – June 30 and July 1—December 31. We never invoiced every month; upon request, we invoiced annually.
  2. We typically sent the invoice on the first day of the subscription period.
  3. Cancellation per last day of the subscription period, meaning the latest on June 30 or December 31

New procedure for subscription customers from July 1, 2024:

  1. Boyum IT customers’ subscription period will now only be either 3 months or 12 months. This applies to all existing and new customers.
    1. For all existing customers, starting July 1, 2024, you will, by default, receive invoices for 3 months (no longer 6 months), wherein we will be using the old agreed pricing. You may also opt for a 12-month subscription and a 1-time per year invoice, but we would need to align the invoice price with the latest price list. By having a 12-month subscription, your customer would also be eligible for a price discount (kindly refer to the pricelist).
    2. For all new customers, the latest pricelist must be followed. The partner can opt for our monthly pricing, which will be invoiced every 3 months, or our annual pricing, which will be invoiced annually. The annual pricing will have a discount.
  2. The subscription period starts on the day that we receive your purchase order.
  3. Subscription invoices will be sent on the last day of the first month of the start of the subscription period.
  4. The partner can terminate a subscription contract before the start of the next subscription period. This can be done via the Boyum Partner Portal (or, for a limited period until 30 November 2024) by emailing your Boyum/Netronic channel account manager.

 

Discounts for longer subscription commitments

Boyum honors customers making long-term commitments. We offer standard discounts to customers signing 24, 36, 48, or 60-month subscription contracts. Please see the pricing in our Partner Portal for more information.

You can opt for a quarterly or annual billing cycle independent of the commitment length.

 

How the Boyum Partner Portal works

We have a powerful Partner Portal, from which you can order new licenses, new subscriptions as well as renew both maintenance and subscription contracts. The Boyum Partner Portal is the go-to place for all Boyum and Netronic partners.

All Netronic partners should have access to the Portal. If not, don't hesitate to get in touch with your responsible channel manager.
